Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into between Authorly ("Authorly") and the undersigned client (the "Author"), effective as of the date of last signature below.
1. Purpose
The parties intend to discuss and collaborate on the creation, development, and publication of a written work (the "Project"), and may exchange confidential information in connection therewith.
2. Confidential Information
"Confidential Information" means any non-public information disclosed by either party, including book concepts, outlines, drafts, manuscripts, personal stories, business strategies, financial data, and any materials marked or reasonably understood to be confidential.
3. Obligations
Each party agrees to (a) hold the other's Confidential Information in strict confidence, (b) use it solely for the Project, and (c) protect it with at least the same degree of care used for its own confidential information, and in no event less than reasonable care.
4. Ownership of the Manuscript
Upon full payment, all rights, title, and interest in the final manuscript — including copyright — transfer exclusively to the Author. Authorly retains no ownership, reuse, or resale rights in the delivered work.
5. No Reuse
Authorly will not republish, resell, repurpose, or use the Author's Project, in whole or in part, for any other client, portfolio, or promotional material without the Author's prior written consent.
6. Amazon Royalties
The Amazon KDP publishing account remains the property of the Author. All royalties, payments, and rights associated with the published book on Amazon belong exclusively to the Author.
7. Term
This Agreement remains in effect for a period of three (3) years from the effective date, and each party's obligations regarding Confidential Information shall survive termination.
8. Governing Law
This Agreement shall be governed by and construed in accordance with applicable law of the jurisdiction in which Authorly operates, without regard to its conflict of law principles.
